Terms of Service (Enterprise Technology)

These Terms and Conditions (“T&C”) govern all purchases of technology services, software assessments, and consulting engagements (including StackProof) through KGS Studios. By commissioning an assessment or technology engagement, you agree to these terms.

Scope of Technology Offerings & Deliverables

KGS Studios provides a suite of enterprise-grade technology solutions. For our Analytical Services (StackProof), the depth of reporting and translation is strictly dictated by the purchased tier. While the proprietary StackProof engine operates at maximum diagnostic capacity for all engagements, the generated deliverables are scoped as follows:

  • Lite-Tier Deliverables: Provides a Tactical Engineering Report. This includes a Pass/Fail status, direct identification of architectural bottleneck coordinates, direct remediation paths, and the Raw Snapshot Log (comparing “Before Code” to the “StackProof Corrected Code”). It explicitly excludes systemic context or executive financial summaries.
  • Mid-Tier Deliverables: Provides a Systemic Context Report. Includes all Lite deliverables, plus the Full Comparison Snapshot Log (demonstrating standard AI failure vs. StackProof correction), systemic anti-pattern analysis across the repository, and load performance impact assessments.
  • Core-Tier Deliverables: Provides a Board-Ready Executive Strategy. Includes all Mid deliverables, plus financial risk quantification, estimated remediation ROI, and a phased implementation timeline. Core reports undergo mandatory human review by KGS Studios leadership prior to delivery.

Engagements, Payment, and Finality

Full payment is required to initiate all technology orders. Due to the digital, intellectual, and custom-configured nature of our products, the following terms apply:

  • The Introductory “First Scan”: KGS Studios may offer a complimentary initial architectural scan comparable to our Lite tier ($8,500 value). This is strictly limited to one per enterprise organization. While provided at no cost to prove our proprietary ROI, these engagements are fully protected by our strict IP, zero-retention, and confidentiality protocols.
  • Automated Assessments (Lite & Mid): Full payment is due at checkout. Because compute resources and proprietary analysis loops are allocated immediately upon provisioning, all sales are final.
  • Core Engagements: Engagements require pre-qualification. Execution begins only upon full invoice fulfillment. All sales are final post-payment.
  • Software & Hardware: Software licenses and integrated hardware purchases are non-refundable. Hardware orders cannot be canceled once the physical build or configuration process has commenced.

Shipping, Delivery, and Risk of Loss

For integrated hardware solutions, KGS Studios applies the same rigorous fulfillment standards used for our museum-grade fine art. Hardware systems are shipped fully insured via specialized technology carriers. The risk of loss transfers to the client upon delivery to the destination address. International recipients are strictly responsible for any applicable import duties, taxes, or customs clearance fees.

Intellectual Property & Confidentiality

  • Client Data & Code: You retain full, exclusive ownership of all source code, business intent, and intellectual property submitted for analytical review.
  • KGS Studios IP: KGS Studios retains full, exclusive copyright and ownership of the StackProof system, Hermes routing protocols, KGS Business System architecture, and all underlying analysis frameworks. Software solutions are licensed for authorized use, not sold. Reverse engineering or unauthorized distribution is strictly prohibited.

The KGS Studios Verification Guarantee & Liability Limits

Unlike standard consulting firms that bill for time regardless of outcome, KGS Studios bills for architectural truth. We do not guarantee the presence of errors; we guarantee the accuracy of our findings.

  • The High-Signal Guarantee: We warrant the accuracy and reproducibility of our architectural findings based on the codebase state provided at ingestion. If our report identifies a structural flaw, we guarantee it is reproducible. If our analysis yields zero structural anomalies, we certify that the architecture has successfully passed the StackProof verification matrix.
  • Remediation of False Positives: In the rare event a client identifies a verifiable false positive generated by our system, KGS Studios will conduct a manual review and issue a corrected architectural roadmap at no additional cost. This review process is strictly operational and involves no disclosure of KGS Studios’ proprietary algorithms, trade secrets, or internal analysis methods.
  • Implementation Liability: The final deployment, merging, and execution of our structural roadmaps into your live production environment remain the sole responsibility of your engineering team.
  • Maximum Liability: KGS Studios, its founders, and employees shall not be liable for any incidental, consequential, or catastrophic damages, including system downtime or data loss. Our maximum aggregate liability under any circumstance is strictly limited to the total amount paid by the client for the specific product or consulting engagement.

Governing Law and Disputes

The laws of the State of Texas govern this agreement. Before any court action, all disputes regarding technology services, software, or hardware must first be submitted to a 30-day mediation process in San Antonio, Texas.
